If we are consulted early, we can provide consulting advice to the Seller explaining the listing and commission agreements, for the Buyer, we review confidentiality agreements and offers to purchase. Many times, so much emotion is involved that we as Business Transaction Attorneys can help mediate any issues that have become too emotional for the parties to continue with the transaction and ensure a result that is satisfactory to all. Important too is our escrow service, you know that many times, escrow monies are disputed and you do not want to be at the center of these disputes. We will hold Business Buyer deposit money in escrow until the business sale is concluded and then disburse funds to the appropriate parties, also ensuring your commission is paid. Sometimes, a deal calls for an Escrow Holdback, this money is sometimes required to remain in escrow for periods of up to a year or more and can only be released once key conditions of the business sale have been met by both parties. It is not in your best interests as the Business Broker to resolve Escrow Holdback issues and disputes.
